Bye Laws of Dx India Foundation

# Article I: Membership

1. *Eligibility*: Membership is open to all amateur radio operators in India who support the objectives of the DX India Foundation.

2. *Types of Membership*: There shall be three types of membership: Ordinary, Life, and Honorary.

3. *Application*: Applications for membership shall be made in writing to the Secretary, who shall present them to the Governing Body for approval.

# Article II: Governing Body

1. *Composition*: The Governing Body shall consist of the President, Vice President, Secretary, Treasurer, and three members elected by the Ordinary Members.

2. *Term*: The term of the Governing Body shall be two years.

3. *Powers*: The Governing Body shall have the power to manage the affairs of the DX India Foundation, including the power to make rules and regulations.

# Article III: Meetings

1. *Annual General Meeting*: The Annual General Meeting shall be held once a year to elect the Governing Body, approve the budget, and transact other business.

2. *Special Meetings*: Special meetings may be called by the President or by a majority of the Governing Body.

3. *Notice*: Notice of meetings shall be given to all members at least 30 days in advance.

# Article IV: Finances

1. *Funds*: The DX India Foundation shall have a General Fund and a Reserve Fund.

2. *Accounting*: The Treasurer shall maintain accurate accounts of the DX India Foundation’s finances.

3. *Audit*: The accounts shall be audited annually by a qualified auditor.

# Article V: Amendments

1. *Proposal*: Amendments to these bye-laws may be proposed by any member of the Governing Body or by a majority of the Ordinary Members.

2. *Notice*: Notice of proposed amendments shall be given to all members at least 30 days in advance.

3. *Approval*: Amendments shall be approved by a two-thirds majority of the members present and voting at the Annual General Meeting or a Special Meeting.

# Article VI: Dissolution

1. *Proposal*: A proposal to dissolve the DX India Foundation may be made by a majority of the Governing Body or by a majority of the Ordinary Members.

2. *Notice*: Notice of the proposal shall be given to all members at least 30 days in advance.

3. *Approval*: The proposal shall be approved by a two-thirds majority of the members present and voting at the Annual General Meeting or a Special Meeting.

# Article VII: Miscellaneous

1. *Interpretation*: These bye-laws shall be interpreted by the Governing Body.

2. *Dispute Resolution*: Any disputes arising under these bye-laws shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
